Terms of Service

1. Who we are
Markway (“Markway”, “we”, “us”) is a software and services business operated from France. These Terms govern your use of the Markway desktop application, the Markway managed AI service, and any related agency services (together, the “Service”). By purchasing a license or using the Service you agree to these Terms.
2. Purchases & billing — Lemon Squeezy as Merchant of Record
All purchases are processed by Lemon Squeezy, LLC, acting as Merchant of Record. Lemon Squeezy is the seller of record for your transaction: they handle payment, applicable taxes (including EU VAT) and invoicing, and their terms apply to the payment itself. Your license key is delivered by email after purchase.
3. Your license
Subject to an active subscription, we grant you a personal, non-exclusive, non-transferable license to install and use the Markway application. Each license may be activated on a limited number of machines (shown at purchase); you can release a machine yourself at any time from the app. You may not resell, sublicense, share license keys, or reverse-engineer, modify or circumvent the license and metering mechanisms of the Service.
4. Managed AI service
Paid tiers include a monthly allowance of AI usage (measured in tokens, shown at purchase). The managed AI requires an active, validated subscription; if your license cannot be revalidated for an extended period the AI features are suspended until validation succeeds — your local data remains untouched. AI output consists of drafts and suggestions: you remain solely responsible for every message actually sent from your accounts and for reviewing AI content before use.
5. Acceptable use
You agree to use the Service only in compliance with applicable law and with the terms of the platforms you connect (Markway uses official platform APIs). You are responsible for the legality of your content and for the accounts you operate. We may suspend or terminate licenses used for unlawful activity, abuse of the Service, or attempts to defeat its technical protections.
6. Refunds & cancellation
See our Refund Policy. Cancelling a subscription stops future billing; a refunded or charged-back purchase results in license revocation.
7. Warranty & liability
The Service is provided “as is”. To the maximum extent permitted by law, our total liability arising out of the Service is limited to the amounts you paid for it in the twelve months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded under French law, nor the statutory rights of consumers.
8. Changes
We may update these Terms; material changes will be announced on this page with a new “Last updated” date. Continued use after a change constitutes acceptance.
9. Governing law & contact
